Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of PineSeed Pty Ltd's ("PineSeed", "we", "us", or "our") IT support services, website, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use our Services.
2. Services Provided
PineSeed provides professional IT support services including but not limited to:
Managed IT services and support
Network monitoring and maintenance
Cybersecurity services
Cloud computing solutions
Hardware and software support
Data backup and recovery services
Specific services will be outlined in separate Service Level Agreements (SLAs) or Statements of Work (SOWs).
3. Client Responsibilities
As a client, you agree to:
Provide accurate and complete information about your IT systems
Grant PineSeed necessary access to your systems for service delivery
Maintain adequate backups of your data
Designate a primary contact for service coordination
Pay for services in accordance with agreed payment terms
4. Fees and Payment
Service fees will be specified in your service agreement. Unless otherwise agreed:
- Fees are payable within 14 days of invoice date
- Late payments may incur interest at 1.5% per month
- Prices exclude GST and other applicable taxes
- Emergency services outside normal business hours may incur additional charges
5. Service Limitations
While PineSeed strives to provide excellent service, we cannot guarantee:
- Uninterrupted or error-free service
- Compatibility with all hardware/software configurations
- Recovery of all lost or corrupted data
- Prevention of all security breaches
Our liability is limited as outlined in Section 8 (Limitation of Liability).
6. Confidentiality
PineSeed will:
- Treat all client information as confidential
- Implement reasonable security measures to protect data
- Only disclose information as required by law or with client consent
Clients must similarly protect PineSeed’s proprietary information.
7. Intellectual Property
All intellectual property rights remain with their respective owners:
- Client retains ownership of their data and systems
- PineSeed retains ownership of its methodologies, tools, and documentation
- Third-party software remains property of its licensors
8. Limitation of Liability
To the maximum extent permitted by law:
- PineSeed's total liability is limited to fees paid for the affected services
- We are not liable for indirect, consequential, or incidental damages
- We are not liable for issues caused by client negligence or third-party actions
These limitations do not apply to liability that cannot be excluded under Australian law.
9. Termination
Either party may terminate services with 30 days written notice, unless otherwise specified in your service agreement.
PineSeed may terminate immediately for:
- Non-payment of fees
- Material breach of these Terms
- Illegal or unethical use of our services
Upon termination, all outstanding fees become immediately due.
10. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales.
11. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through our website.
Continued use of our Services after changes constitutes acceptance of the new Terms.
